A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF DIAMOND BAR APPOINTING A CITY MANAGER AND
APPROVING AN AGREEMENT WITH GEORGE CASWELL.
A. Recitals.
(i) The City of Diamond Bar was incorporated on
April 18, 1989 as a general law city of the State of California.
(ii) The City by ordinance has adopted a Council/
Manager form of government.
B. Resolution.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF DIAMOND
BAR DOES HEREBY RESOLVE, DETERMINE AND ORDER AS FOLLOWS:
1. GEORGE CASWELL is appointed City Manager with
compensation and benefits as specified in the agreement attached
hereto as Exhibit "A" and by this reference made a part hereof.
2. The Mayor and City Clerk hereby are authorized and
directed to execute the agreement attached as Exhibit "A" on
behalf of the City.
3. The City Clerk shall certify to the adoption of
this Resolution.
ADOPTED AND APPROVED this 18th day of April, 1989.

THIS AGREEMENT is made and entered into this 18th day
of April, 1989, between the CITY OF DIAMOND BAR and GEORGE
CAS'WELL, hereinafter called CONSULTANT, pursuant to these terms
and conditions:
A. The CITY wishes to employ the services of
CONSULTANT as City Manager of the CITY OF DIAMOND BAR; and
8. CITY and CONSULTANT desire to provide for certain
procedures, benefits and requirements regarding the employment of
CONSULTANT by the CITY; and
C. CONSULTANT is willing to work as full time City
Manager of said CITY under the terms and conditions recited
herein.

as the City Manager of Diamond Har, California, to perform all
duties as specified by law and ordinance, and to perform such
other proper duties as assigned by the City Council.
as City Manager shall be Seven Thousand Five Rundred Dollars
($7,500.00) per month. Payment thereof shall be aide in such
amounts and at such times as CONSULTANT may designate.

EXHIBIT "A"
a. CONSULTANT shall serve at the pleasure of City Council;
b. Nothing in this Agreement shall prevent, limit, or
otherwise interfere with the right of the City Council to
terminate the services of CONSULTANT at any time, subject only to
the provisions set forth in Paragraph c of this Section;
C. CONSULTANT may be terminated, without cause, subject
only to thirty (30) days' notice thereof or upon hiring of a new
City Manager;
d. CONSULTANT shall give thirty (30) days' notice of
resignation.
Section Four - BUSJJWS SXPLNSLPS - CITY shall reimburse
COUBULTANT for all consultant -related expenses, as approved by
CITY's City Council. Automobile mileage shall be reimbursed at
$.24 per mile.
Section Five INSURANCE - Throughout the term of this
Agreement, at CONSULTANT's sole cost and expense, CONSULTANT
shall keep, or cause to be kept, in full force and effect, for
the mutual benefit of CITY and CONSULTANT, automobile insurance
against claims and liabilities for personal injury, death, or
property damage arising from CONSULTANT's activities, providing
protection of at least one wed Tbomsaed [dollars ($100,000.00)
for bodily injury or death to any one person and at least Three
Hundred Thousand Dollars ($300,000.00) aggregate.

Section ajX - INDEPENDENT CONTRACTOR - The parties hereto
understand and agree that CONSULTANT is an independent contractor
and shall not be construed, for any purposes, to be an employee
of CITY.
IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be executed, in duplicate, on the day and year first
above written.
