AMENDMENT NO. 1
TO
STAFFING SERVICES AGREEMENT
This Amendment No. 1 to Staffing Services Agreement (the “Agreement”) is made and
entered into as of May 23, 2024 by and between the City of Diamond Bar, a municipal
corporation (“City”), and Roth Staffing Companies, L.P. dba Ultimate Staffing Services and
Ledgent Finance & Accounting Consultant”) with reference to the following:
A. The City and the Consultant entered into that certain Temporary Staffing
Services Agreement dated as of June 26, 2023, which is incorporated herein by this
reference (the “Agreement”); and
B. The City and the Consultant desire to amend the Agreement to modify, amend
and supplement certain portions of the Agreement.
NOW, THEREFORE, the parties hereby agree as follows:
1. Defined Terms. Except as otherwise defined herein, all capitalized terms used
herein shall have the meanings set forth for such terms in the Original Agreement.
2. Term of Agreement. The Agreement was for the term of June 26, 2023
through September 30, 2023. This Amendment extends the term of the Agreement from
October 1, 2023 through June 30, 2024.
3. Compensation. Total payment to Consultant pursuant to the Agreement was
not exceed $25,000. This Amendment increases the not to exceed amount by Eight
thousand dollars ($8,000) for a not to exceed compensation in the amount of thirty-three
thousand dollars ($33,000).
4. Integration. This Amendment and all attachments hereto (if any) integrate all
of the terms and conditions mentioned herein, and supersede all negotiations with respect
hereto. This Amendment No. 1 amends, as set forth herein, the Agreement and except as
specifically amended hereby, the Agreement shall remain in full force and effect. To the
extent that there is any conflict or inconsistency between the terms and provisions of this
Amendment and the terms and provisions of the Agreement, the terms and provisions of this
Amendment shall control.
