The workshop highlighted what goes into preparing a traffic engineering report and the various items that recommendations are based on such as existing conditions, traffic counts, field observations, accident history, etc. The workshop was also an open discussion and reviewed the possible options/projects addressing the concerns the youth committee had around their High School. From there at no cost to the city as part of our CBE program, we conducted an engineering traffic analysis of existing conditions and potential traffic improvements near the school and presented these to City Council. During our field work we conduced traffic counts. Student’s part of the Youth Committee also participated in the count collected process as part of our CBE program. o Temple City Youth Committee Pedestrian Safety Booth: The Transtech Team volunteer their time and at no cost to the City prepared traffic safety brochures working together with the youth committee to educate the community about road safety for motorists, pedestrians, and cyclists. This particular event was held to coincide with another City event to be able to capture many community members. Following items may be discussed: • For insurability purposes, any duty to defend which is not expressly deleted or defined as a reimbursement to the extent of the adjudicated negligence will present insurability issues. • Insurance may not cover payment for any of the City’s’ defense related cost prior to a final determination of liability or to pay any amount that exceeds Contractor’s finally determined percentage of liability based upon the comparative fault of Contractor. Consultant should reimburse all reasonable attorneys’ fees as part of City’s total damages tied directly to Consultant’s determined percentage of fault. • For insurability purposes, one of the most important contract terms is to ensure the word "negligent" is evident in the indemnity clause. Absent a negligence trigger for claims, a client or owner could present claims with no allegations of negligence, and the professional liability may have coverage implications. Inserting "negligent" acts, errors, or omissions can help make the entire indemnity subject to an appropriate standard of care. • Many contracts use phrases such as: “arising out of or in connection with". This can allow the certificate holder to assert claims that vaguely involve our scope of services. By replacing such phrases with "but only to the extent actually caused by", the claimant must establish that the negligence was the proximate cause of the damage, otherwise known as direct causation, would be insurable. • For insurability purposes, we suggest limiting the obligation to only those parties with whom we have the contract, or who are in direct contractual privity to the project owner. • For insurability purposes, in the event of any dispute between the Parties related to this Agreement or this Project, we recommend that the Parties agree to first negotiate in good faith toward a resolution with participation by representatives of each Party holding sufficient authority to resolve the dispute.
