Re: Canyon Loop Trail Improvement Project City of Diamond Bar
Dear Ryan Wright:
SWCA Environmental Consultants (SWCA) appreciates the opportunity to submit our proposal to provide restoration
contractor services for the Canyon Loop Trail Improvement – Habitat Mitigation and Monitoring Program Project
(project) for the City of Diamond Bar (City).
We have read the City’s standard agreement and insurance requirements. SWCA confirms we can meet the City’s
insurance requirements and has the following suggested changes to the City’s draft agreement:
• On Page 3, Section 10. Indemnification: Remove the clause “Defend with counsel approved by City” and
remove clause “regardless on City’s passive negligence”
• On Page 4, Section 10. Indemnification: Remove the clause “Should City in its sole discretion find
Contractor’s legal counsel unacceptable. Then Contractor shall reimburse the City in its costs of defense,
including without limitation reasonable attorney’s fees, expert fees and all other costs and fees of litigation.”
• On Page 4, Section 11. Insurance: Automotive liability insurance minimum combined single limits coverage
change to $1,000,000.
