WHEREAS, the City desires to perform a survey and other related actfvitfes as set forth herein on the terms and conditfons set forth herein. NOW, THEREFORE, in consideratfon of the premise and of the mutual promises and undertakings herein contained, and for other good and valuable consideratfon, the receipt of which is hereby acknowledged, the partfes agree as follows: 1. Survey. 1.1 The partfes will work together to develop and conduct a 15-minute survey as described more fully in METHODOLOGY/PROJECT UNDERSTANDING attached hereto (the “Survey”), including the creatfon of a questfonnaire (the “Questfonnaire”) for data gathering and to analyze any quantftatfve or qualitatfve data gathered through the Survey. The partfes will agree on the selectfon of the intended survey populatfon (the “Survey Recipients”). 1.2 With respect to the Survey, the City will develop the concept and the questfons for the Questfonnaire and set the parameters by which the Survey Recipients are selected. The Consultant will be responsible for editfng the Questfonnaire under the directfon of the City. After the Questfonnaire is approved by the City, the Consultant shall not make any modificatfons to the Questfonnaire without prior written approval of the City. 1.3 The Consultant shall be responsible for fielding the Questfonnaire and collectfng the responses (the “Data”), and tabulatfng the Data (the “Tabulatfon”). The Consultant shall use its best efforts to secure partfcipatfon in the Survey and encourage the Survey Recipients to complete the Questfonnaire. The Consultant shall obtain consent from the Survey Recipients to disclose the Data. 9120 Leslie St ∙ Suite 106 ∙ Richmond Hill, Ontario ∙ L4B 3J9 phone: 905.731.5567 ∙ fax: 905.731.9517 ∙ web: www.onresearch.ca 1.4 The Consultant shall be responsible for producing a summary of the Data collected (the “Report”) and providing an in-depth analysis of the Data (the “Survey Results”) as outlined in METHODOLOGY/PROJECT UNDERSTANDING. 1.5 The Consultant shall submit a draft of the Report and the Survey Results to the City for its review. Unless otherwise mutually agreed to by the partfes, the City shall be entftled to at least a 20- business-day review period within which period the City shall provide any comments that it may have on the Report to the Consultant. The partfes shall in good faith work to address the City’s comments. 2. Fees. The fee for the services outlined in this Agreement and METHODOLOGY/PROJECT UNDERSTANDING will be paid by the City within seventy (70) days of the receipt of the invoice. All payments made hereunder will be made by electronic method only, which includes, but is not limited to, Automated Clearing House (ACH) and Domestfc Money Transfer (DMT). In consideratfon of receipt of the Fee, the Consultant shall perform and execute the responsibilitfes and obligatfons as outlined in this Agreement and as described in METHODOLOGY/PROJECT UNDERSTANDING. The Consultant represents and warrants that it will perform such responsibilitfes in a workmanlike and professional manner consistent at all tfmes with the standards applicable to its industry and per applicable laws and regulatfons. 3. Intellectual Property. 3.1 City shall own the Questfonnaire, Data, Tabulatfon, Survey Results and Report (collectfvely the “Deliverables”). The Consultant hereby assigns and agrees to assign, to City, without additfonal compensatfon, all rights, tftle, and interest in and to the Deliverables, including, but not limited to, all copyright, trademark, patent and other rights therein. For purposes of clarificatfon, the City shall have the right to disclose the Deliverables to third partfes without the Consultant’s permission. 3.2 City hereby grants the Consultant a limited license to use and disclose the Deliverables solely as necessary to perform the services as set forth in this Agreement and METHODOLOGY/PROJECT UNDERSTANDING; provided that the Deliverables shall not be further used or disclosed by the Consultant. 3.3 The partfes agree that the Consultant shall not have the right to issue any press releases or other announcements regarding the Survey or this Agreement, nor refer to the fact that the Consultant is furnishing or has furnished services to City, without the prior written consent of City. Term and Terminatfon. 4.1 This Agreement shall become effectfve as of the Effectfve Date of this Agreement and, unless earlier terminated in accordance with its terms, shall remain in effect untfl August 31, 2025 (the “Term”). This Agreement may be renewed by written agreement of both partfes. 4.2 In the event either party commits a material breach of any provision contained in this Agreement, which remains uncured after thirty (30) days' written notfce, the non-breaching party may terminate this Agreement. 4.3 In addition, the City may terminate this Agreement upon written notice to the Consultant if the City determines that the performance of any part of this Agreement would conflict with law, independence or professional rules. The city shall endeavor to provide reasonable advance notice to the Consultant of a termination pursuant to the preceding sentence. 4.4 Any provisions that are by their nature intended to survive terminatfon of this Agreement shall survive the expiratfon or terminatfon of this Agreement. 5. Limitatfon of Liability. EXCEPT TO THE EXTENT ARISING FROM A PARTY’S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS IN SECTION 6 OR A PARTY’S BREACH OF USE AND ACCESS TO DELIVERABLES, BAD FAITH OR INTENTIONAL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR (I) ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RELATING TO THIS AGREEMENT, SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS; OR (II) ANY CLAIMS, LIABILITIES, DAMAGES OR EXPENSES RELATING TO THIS AGREEMENT THAT EXCEED, IN THE AGGREGATE, AN AMOUNT EQUAL TO (I) THE FEES PAID (IN THE CASE OF THE CONSULTANT) OR PAYABLE (IN THE CASE OF CITY); OR (II) ONE THOUSAND DOLLARS ($1,000.00), WHICHEVER IS GREATER. THE PROVISIONS OF THIS SECTION 5 SHALL APPLY TO THE FULLEST EXTENT OF THE LAW, WHETHER IN CONTRACT, STATUTE, TORT (SUCH AS NEGLIGENCE) OR OTHERWISE. 6. The partfes agree that, during and after the Term, neither party shall, directly or indirectly, divulge, use, sell, exchange, furnish, give away, or transfer in any way any Confidentfal Informatfon of the other party without the express written consent of the other party. 6.2 The partfes acknowledge that any Confidentfal Informatfon that has been disclosed to a party hereunder (“Receiving Party”) by the other party (“Disclosing Party”) has been disclosed solely for the performance of this Agreement. The partfes agree that, as between the partfes, all Confidentfal Informatfon remains the exclusive property of the Disclosing Party. 6.3 There shall be no obligatfon of confidentfality with respect to any Confidentfal Informatfon that (a) is publicly available, other than through a breach of this Agreement by the Receiving Party; (b) is developed by the Receiving Party independently of, or was known by Receiving Party prior to, any disclosures made by the Disclosing Party to the Receiving Party of such informatfon; (c) becomes available to the Receiving Party on a non-confidentfal basis from a source which the Receiving Party does not reasonably believe is prohibited from disclosing such informatfon to the Receiving Party; (d) is disclosed with written consent of the Disclosing Party; (e) is disclosed by the Receiving Party as may be required by law, regulatfon, judicial or administratfve process in accordance with applicable professional standards or rules pursuant to an order of a court of jurisdictfon or administratfve agency, a validly enforceable subpoena, or any other legal or administratfve process; or (f) is disclosed by the Receiving Party in connectfon with any judicial or other proceeding involving either party relatfng to this Agreement, provided in the case of Sectfons 6.3(e) and (f), the Receiving Party will, to the extent permitted by applicable law, advise the Disclosing Party of the disclosure requirement and request confidentfal treatment for the Confidentfal Informatfon disclosed. 7. Notfce. Independent Contractors. Each party shall perform its obligatfons hereunder as an independent contractor and shall not be deemed an agent or partner of the other. Neither party shall have any right, power or authority to enter into any agreement or bind or incur any obligatfon or liability on behalf of the other party. 9. Amendments. This Agreement may not be amended or modified except by a written instrument executed by both partfes. 10. Assignment. The Consultant shall not assign this Agreement or subcontract any of the services hereunder without the prior written consent of the City. This Agreement shall be binding upon and shall inure to the benefit of the partfes and each of their respectfve successors and permitted assigns. 11. Waiver. No waiver of, acquiescence in or consent to any breach of or default under this Agreement shall be deemed a waiver of, acquiescence in or consent to any other breach or default occurring at any tfme, nor shall any waiver constftute a contfnuing waiver. Headings. The headings in this Agreement are for reference purposes only, do not constftute a part of this Agreement and shall not affect its meaning or interpretatfon. 13. Third-Party Beneficiaries. This Agreement does not create, and shall not be construed as creatfng, any rights or interests enforceable by any person not a party to this Agreement. 14. Governing Law. This Agreement and the obligatfons of the partfes hereunder shall be governed and interpreted in accordance with the laws of the State of New York without reference to or applicatfon of its rules governing conflicts of law. The partfes hereby consent to the exclusive jurisdictfon of the federal and state courts located in the Southern District of New York. 15. Force Majeure. Neither party shall be liable in the event its failure to perform its obligatfons results from circumstances or causes beyond the reasonable control of the party, including fires, epidemics, acts of God, strikes or labor disputes, war, terrorism, natural disaster, riot, or any law, order or requirement of any governmental agency or authority. Any delay resultfng from any of said causes shall extend performance accordingly or excuse performance by each party, in whole or part, as may be reasonable under the circumstances. 16. Representatfons. 16.1 Each party represents that (i) it has the power and authority to enter into and perform its obligatfons under this Agreement, and (ii) it holds all rights necessary to grant the other party the rights granted hereunder. 16.2 The Consultant shall promptly notffy the City upon the Consultant learning or having reason to know that (i) it or any proprietor, partner, director, officer or manager of the Consultant is a New York State Employee (as defined below), or (ii) a New York State Employee owns or controls at least ten percent (or one percent if the stock of the Consultant is publicly traded) of the stock or other equity interest in the Consultant. The Consultant represents that, as of the date hereof, it does not have a notfficatfon obligatfon under the immediately preceding sentence. As used herein, a “New York State Employee” means any statewide elected official, state officer, state employee, member of the legislature or legislatfve employee, in each case, of the State of New York. 17. Compliance with Laws. 17.1 The Consultant shall, at its own expense, comply with all laws, rules, and regulatfons, and assume all liabilitfes or obligatfons imposed by such laws, rules, and regulatfons, with respect to the Consultant’s performance hereunder. 9120 Leslie St ∙ Suite 106 ∙ Richmond Hill, Ontario ∙ L4B 3J9 phone: 905.731.5567 ∙ fax: 905.731.9517 ∙ web: www.onresearch.ca 17.2 The Consultant represents and warrants that, in connectfon with this Agreement, the Consultant and any person or entfty actfng on its behalf has complied and will contfnue to comply with the U. S. Foreign Corrupt Practfces Act (15 U.S.C. Sectfon 78dd-1, et. seq.) as amended (“FCPA”), and all other applicable antf-corruptfon laws, rules and regulatfons. As a general descriptfon, the FCPA prohibits corrupt payments, including offering or promising money, gifts or anything of value, to foreign officials to obtain or keep business. The Consultant shall notffy the City as soon as reasonably practfcable of any change in circumstances that renders these representatfons or warrantfes inaccurate. In additfon to and without prejudicing any other rights or remedies available to City, City may (i) terminate this Agreement immediately upon written notfce to the Consultant and (ii) withhold any amounts payable to the Consultant hereunder in the event of (x) the Consultant’s breach of this paragraph or (y) any governmental inquiry or investfgatfon relatfng to a potentfal violatfon of any antf-corruptfon law, rules or regulatfons by or on behalf of the Consultant. 17.3 Equal Employment Opportunity: During the performance of this Agreement, the Consultant agrees to comply with all federal, state, and local laws concerning discriminatfon in employment, including the requirements of 41 §§ CFR 60- 1.4(a), 60-300.5(a) and 60-741.5(a). These laws and regulatfons prohibit discriminatfon against qualified individuals based on their status as protected veterans or individuals with disabilitfes and prohibit discriminatfon against all individuals based on their race, color, religion, sex, sexual orientatfon, gender identfty, or natfonal origin. Moreover, these regulatfons require that covered prime contractors and subcontractors take affirmatfve actfon to employ and advance in employment individuals without regard to race, color, religion, sex, sexual orientatfon, gender identfty, natfonal origin, protected veteran status or disability. To the extent applicable, the employee notfce requirements outlined in 29 C.F.R. Part 471, Appendix A to Subpart A, are hereby incorporated by reference into this Agreement. 18. Personal Identffiable Informatfon. In no event will the Consultant provide any non-public informatfon capable of individually identffying a natural person to the City in connectfon with the Survey or this Agreement. 19. Severability. Entfre Agreement. This Agreement, including any exhibits referenced herein, constftutes the entfre agreement of the partfes relatfng to the subject matter hereof and supersedes all prior oral or written understandings or agreements relatfng thereto. No promise, understanding, representatfon, inducement, conditfon or warranty not set forth herein has been made or relied upon by either party hereto. 21. Waiver of Jury Trial. CITY AND THE CONSULTANT HEREBY IRREVOCABLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL RIGHTS TO TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM (WHETHER IN CONTRACT, STATUTE, TORT (SUCH AS NEGLIGENCE), OR OTHERWISE) RELATING TO THIS AGREEMENT.
