9. Indemr�ificatior�, I
Contrac#ar shall indemnify, defer�� with counseE apprvv�d by City, and hold harmless
Gi�y, its officers, o#�iciais, employees anc� valur�teers („lndemni�ees"} from and a�ainst �Il ,
lia�i�ity, �oss, d�mage� �xpense, cost �including with�ut iimi#ation reasonable attarneys` f��s,
expert fees ar�d a!i �th�r costs at�d fe�s of litigation) of ev�ry na�ure arFsing aut of ar in

regardless of City's passius negligenc�, but excepting suah fo�s or damag� which is '

I, Co�trac�or shal� i�clude ail subcontracfors, ifi any, �s insureds under its palicies '
or shall furnish se�arafe cer#ifi�ates and en�arsemen�s for each subcantr����r tv the C�ty far '
review and ap�rovai. All ins�rance for subcontractars s�all be s�bjsct to all of the
requiremenfs �tated herein.
�11. �onfidentiality. Cantractor in f#�e caurse of i�s d�ties may haue aacess to �
confid�ntia! data of City, private indi�iduafs, or employee� of #he City. Gonfiractor �avenants
that a1f data, documents, discussion, or other informa�ior� deuelope� or received by Cnntractor ;
or prorrided f�r per#ormance of this f�greement are deemed confider�tiai artd shail not be �
disclosed by C�n#ractor wifhout writter� a�fhorization by Cify. City shall grant suckt I
a�thvriza�€on if disciosure i� req�ired by iavv. All City data shali be re�urne� to City �apon t�e
termination of fihis Agreement. Con�rac�ar`s cavenant ur�der this s�ctian sha[1 survive the
termination of th�s Agreement. Nafinrithstanding th� for�go�ng, ta fh� exte�t Cantractor ` i
prepar�s reports of a �roprietary r�aturs specifica�iy for and in cot�n�et[on with certain projscts,
the City shaA not, except with Canfrac�or's }?F[OF WE'If�G'�} cor�sent, use th� sam� for �oti�er
unrelated pra�ects. ; '
�t2. Il�aintenance ancf ln�spac#ivn a€ Recor�#s. In accnrd�r�ce with generally
�cce�ted acca�nti�� principlcs, Contr�ctor and its subcan�rac#ars sf�all maintain reasonably ,
ful! and comple�e books, dacuments, papers, �ccoun�ing r�cords, and at�er information
(caf�ectiv�ly, �he "records") pertaining ta t}�e casts af �rtd carnple�ion c�f servic�s performed
und�r this Agreement. The City and any �f t�eir authorized representa#ives sha�l have access
to and the rig�# to audit and r��rod�ce any nf Cnr�tr�ctor's reeords regarding the services
provided und�r this Agre�ment. Cantra�tor shall maintain a�i suc� recnrds for a period of at '
least fhr�e (3) years after fermination or complefiion af this Agreemen�. Confractor a�rees to ,
make availab[e all such r�cords for inspection or audit at its affices durittg normal b€�siness ',
hour� and upon three (3} days' r�otice frvm the Ci�y, and copies th�reaf shall b� furnished if

of its services here�nd�r. Contractor�ur�her cavenants that, in performat�ce of this Agreement,

avoi� the appearan�e o# having any infierest whrch wou[d cant(ict in any manner with the
performanc� of its services pursuant to this Agr��m�n�. _

B. Cantractor cavenants nat fv give or receive any compensation, rnone#ary or
otherwise, to or from the ultimate veno�or(s) of harcfware or software to City as.a r�suEt of#he
- �erformance of th�s A�raement. Cor�tractor's cover�ant under th€s sectian shall survive the
t�rminat€on af this Agreement, � -
�I4. Termir�ation. The City rr�ay terminate this Agre�ment wit� �r wi#hout cause
. upon thirty (30) days' wri�ter� r�oticc to Go�tractor. The �ffective da�e af termination shalE �e
upon tf�� dafe spe�ifed in the notice of terminafion, ar, in the e�vent na date is specif��d, u�o�
the th�r#9eth (30th) day follow�ng de[ivery af the notice. In the event �� such termination, Gity _
agree� to pay Contrac�nr f�r serv#c�s satisfactor�ly rendered priar ta the ei��cfiive date of
termir�a�ian, ImmedEa�ely ��on rec�i�in� writ�er� nvfice o� t�rminatian, Gor�#ractor sha�i
discontinue perfarmi�g �ervices, unless the r�okice provides otherwise, �xcept those 5ervices .

15. P�rsonr��l. Contractor represents that it has, ar wi�l secure at i�s own exper�se, '
all p�rsortnal required to perform tl�e s�rvic�s under t#��s Agreemer�#. All of #i�� services
requir�d under �his Agre�m�nt will be perform�d by Contractor ar under if sup�rvision, and al!
personnel engaged in tk�e work shall be qua�ified fio perform 5�1GF1 services, Gontractor '
reserves the right to d�termine the assignrnent o# its own emplay�es ta the perfarmance af
Contrac�vr's services un�er �#�is Agreemenf, bu# City r�serves �Fte rightz for gaod cause, to - ,
re�u�re Cor�trackor to �xclude any emptr�yee from performing services an City's p�emis�s.
�6, Prerra"rlir�� Wa�e. Notice �s her�by gi�en �hat in accord�nce with the provisions `
of Caiifor�[a Labor Cod�, Divisior� 2, Parfi 7, Chapter �, Articles 1 an� 2, the C�ntraefor is
requrred to pay not (ess t�►a� the generai prevailing ra#� af per di�m wages for wark af a similar '
cf�araater in the I�c�[ity in which the public wor�Cs is perfarmed, ar�d nat less than the general
prevailir�g rate af per diem wag�s fior haliday ar�d vv�rtime w�rK. Ir� t�a# regard, the Dir�ctar of , ,
f�e De��r�ment af lndustrial Rela�inns af #he State 0� C�II'FAl'�ll� is re�uired to a�d �as
deter�nined such g�neral prevailing rat�s of p�r diem wage�. Copi�s of suc}� prevailing rates
of per�i�m wages are on fiis in the Offic� of t�e City Clerk of the Gity af Diamond Bar, 21810 ',
Copley Drive, Diamond Bar, Ca�iforr�ia, and ar� a�a�table to any fnter�sted pa�ty on request.
Gity also shall cause a copy af suah de#�rminations ta be posted at the jab site. ',
7he Cantractor shal{ forfeit, as pe�alty to Gity, not mar� than tw�t�ty-five dollars - ,
($25.��) for each I�bar�r, vuorkrr�an ar mechanic employe� fa� �ach calendar day ar portion ',
thereof, if such (aborer, warkman or mecnanic is paid less �l�ar� the general pre�aifing rafe af
