CITY MANAGER EMPLOYMENT AGREEMENT
This Second Amendment to Employment Agreement ("Second Amendment") is made and

a general law city and municipal (hereinafter City ), and DANIEL H. FOX
(hereinafter "Employee"), both of whom agree as follows,:
RECITALS
A. City and Employee entered into that certain City Manager Employment Agreement
dated June 6, 2017 ( " Employment Agreement").
B. City and Employee entered into that certain First Amendment to Employment
Agreement dated September 17, 2019.
C. The City and Employee desire to amend and modify certain provisions
11 negotiations with respect hereto. This Second Amendment
amends, as set foilh herein, the Agreement and except as specifically amended hereby, the
Agreement shall remain in fall force and effect. To the extent that there is any conflict or
iinconsstency between the terms and provisions of this Second Amendment and the terms and
provisions of the Agreement, the terms and provisions of this Second Amendment shall control.
Inte.raion. This Second Amendment integrates all of the terms and conditions
mentioned herein, and supersede a
