Working in collaboration, our respective firms represent over 100-years of combined experience, with complementary skills and expertise, well suited to the task at hand. MuniEnvironmental Founded in 2015, by Jeff Duhamel, a seasoned expert in the solid waste industry, MUNI is an environmental Consulting firm based in Los Angeles County that specializes in Municipal Solid Waste services; and more specifically, in program management, contract compliance, rate setting, recycling and diversion strategies that are both cost effective and sustainable; as well as certain ancillary tasks, such as auditing of landfill and hauler records, including periodic tonnage reports for CalRecycle data uploads, and waste characterization studies. MUNI also possesses notable skills and experience in facilities design and operation, having managed the development of the Downey Area Recycling and Transfer Facility (DART), now owned and operated by the LA County Sanitation Districts; the Grand Central Recycling and Transfer Station, which MUNI now monitors under its consultancy agreement with the City of Industry; as well as TRRP, the Tajiguas Resource Recovery Project, collocated at the Tajiguas Landfill, a $150M cutting edge project owned and operated by the County of Santa Barbara, designed to achieve compliance with State of California waste diversion mandates, including Senate Bill 1383. MUNI has also had the honor of serving in a greater capacity with many jurisdictions by assisting with the procurement and implementation of municipal solid waste services via sole source negotiations with incumbent firms; competitive bidding under conventional RFP or RFQ/RFP processes; franchise assignments; and privatization. City of Diamond Bar Proposal for Solid Waste Consulting Services May 4, 2022 ii Concerning relative experience, MUNI has worked with over twenty-five (25) municipalities on projects of various complexities, but most similar to the requested services would be its very recent experiences with the Cities of Lynwood, and Cypress, culminating with Council Approvals on 11/2/21, and 11/22/21, respectively, and which resulted in new programs for SB 1383, 5-year rate schedules subjected to the Proposition 218 hearing process, updated and restated franchise agreements with legal safeguards against future price hikes, and extended terms. Municipal Waste Solutions Founded in 2013, by Ms. Susan Contreras, whose forte is achieving and maintaining regulatory compliance on behalf of her firm’s client cities under CalRecycle’s regional enforcement arm, MWS is locally based and operated. Ms. Contreras has been involved in recycling and solid waste management since 1990 and the inception of the California Integrated Waste Management Act (AB 939) while working for Emcon Associates, Inc. In 1992, she went on to collaborate with Americlean Environmental as well as Huls Environmental to incorporate the Source Separation and Recycling Elements (SSRE’s) into the general plans for the over thirty (30) jurisdictions in which they operated. Ms. Contreras also assisted RIS and Huls Environmental Management in the preparation of waste characterizations studies, financial analyses, and operational research for the development and implementation of Waste Diversion Programs required under AB 939. Its core discipline allows MWS to perform all requisite compliance and oversight tasks pursuant to CalRecycle regulations under AB 341 (MCR), AB 1826 (MORe), and more recently, SB 1383 regulations, with strict adherence to the seminal SB 32, the California Global Warming Solutions Act. This includes drafting SB1383 compliant Enforcement and Procurement Ordinances as well as administering Beverage Container and Used Oil Recycling Grants. MWS has also developed Request for Proposals and conducted procurement processes in the cities of El Monte (in conjunction with Huls Environmental), Huntington Park, Maywood, and the Lynwood Unified School District, which in all cases resulted in a successful award to a qualified firm. MWS has also managed the transition between exclusive solid waste service providers post award to ensure a successful launch of any and all enhanced services available under the new Franchise. Among other critical tasks, Ms. Contreras’ role will be tailoring the draft Franchise Agreement(s) to include provisions for AB 1826 and SB 1383 compliance and oversight for inclusion into the RFP, ensuring the City of Diamond Bar will secure CalRecycle compliance on the effective date of the new Franchise. MWS is currently providing ongoing consulting services for the cities of El Monte, Huntington Park, Maywood, and La Puente, effectively functioning as an adjunct to city staff. Notwithstanding, their key professionals also possess vast private sector experience, as reflected in the resumes contained herein. Capitalizing on this industry-insider knowledge, we are able to grasp the whole picture, thereby imparting to the City, and into the process, a resolute approach for more equitable negotiations, and improving the likelihood of success. We are neither officious, nor overreaching in our comportment, yet we fight fiercely to fulfill the long-term goals and objectives of the City, and its citizenry. No firm, whether a behemoth like Hilton, Farnkopf & Hobson, or a midsized firm serving both public and private sector clients simultaneously (at the inherent risk of conflicts and biases that compromise process integrity), down to a one person micro-consultancy, could objectively and effectively capture the essence of the City’s task-at-hand like we would—and will—when given the opportunity to do so. Diamond Bar – Unique Deliverables In the case of Diamond Bar, while certainly not unprecedented, the scope of requested services is definitely unique. By the very nature of negotiating with only the two (2) incumbent firms, encompassing a binary evaluation process that equates to a zero-sum proposition for the either company—equal, yet dissimilar, to an open RFP process— traits such as professional discretion, wisdom, and practical experience, become even more critical. Diamond Bar’s stated objectives were clearly conceived in the long-term interest of the City’s residents and businesses to balance goodwill, earned over many years, with the economic advantages possible through competition. Diamond Bar may expect the following advantages under this Proposal: o Local, Municipal Solid Waste Service insights and perspectives, based on extensive public and private sector experience within this region, under exclusive and non-exclusive franchises; o Solid Waste Consulting Services provided exclusively to public sector clients—not waste haulers, thereby ensuring the integrity of the process; o Extensive knowledge of the regional waste processing infrastructure as contemplated by SB 1383, including, but not limited to, operational experience in transfer stations, materials recovery facilities, collection and recycling operations, and street sweeping services; o Prowess with regard to the implementation of legislatively driven programs in Solid Waste Services that encapsulate waste diversion, recycling, and organics recovery; household hazardous waste stewardship; sharps; and medication management, including the final disposition thereof; City of Diamond Bar Proposal for Solid Waste Consulting Services May 4, 2022 iv o Financial and operational audits, rate negotiations and the Proposition 218 process; o Community outreach though mailers, social media, web-portals, audio/visual presentations, including interviewing stakeholders, and vistal data for dissemination via local media outlets; o Honest and competitive pricing—if we already have the answer, we will not charge for superfluous research that ultimately burdens the City’s rate payers and property owners; o A worthy professional partner offering sound Solid Waste Policy guidance that can be trusted now and in the future. Conclusion In sum, our firms, and our people, know the industry. We’ve lived it. The Los Angeles solid waste municipal solid waste services market place is our bailiwick. Exclusive franchising is our forte, and we understand it better than our competitors because we have worked in the industry as private haulers—yet now as public sector advocates—serving on behalf of our client-cities by procuring reliable, personalized customer centric services, the latest technologies, operational sustainability, along with fair pricing, and vertical integration, in additional to the full gamut of effectual and economical recycling programs integral to achieving regulatory compliance under AB 341, AB 1826, SB 32, and more recently, SB 1383. The City should also find our services to be priced reasonably. Hours allotted and billed at outsize professional rates for unnecessary tedium will not be found in our Proposal; rather, it is built on a task driven, and goal focused, foundation. Firm Background o History/Core Competencies MuniEnvironmental, LLC. Domiciled in Southern California, MuniEnvironmental, LLC., (MUNI) is a California registered, sole member, limited liability company (LLC), founded by Jeff A. Duhamel (Sole Member) in 2010. The entity was formed to effectively rebrand Mr. Duhamel’s original consulting firm, Waste Systems, Inc. (founded by Mr. Duhamel in 1997). MUNI is a professional consulting firm specializing in Solid Waste, Recycling, and Stormwater services. MUNI serves municipalities and other governmental agencies, as well as non- governmental organizations (NGOs), such as nonprofit entities and associations, universities, hospitals, and campus style facilities. MUNI emphatically does not provide consulting services to publicly traded or privately held solid waste service providers/haulers, landfill owner/operators or solid waste facility owner/operators. Over the years, our staff of seasoned professionals have assisted clients to achieve recycling goals, reduce disposal costs, update ordinances, and manage complex franchise agreements. Mandated by the State of California, MWS provides services that augment City Staff with regard to periodic/ongoing diversion reporting. Simultaneously, MWS exercises a global perspective, advising cities on comprehensive policy issues that directly affect all properties within a given jurisdiction. (909) 234-9099 o Collaboration of Prime Contractor & Subcontractor/Designation of Project Manager This Proposal represents a collaborative endeavor by the two firms described above, with MUNI serving as the Prime Contractor and Guarantor, and MWS serving as its functional Subcontractor for purposes hereunder. Although the work force of each firm operates autonomously from the other, they will work in tandem to cohesively fulfill the individual tasks that compose each discrete deliverable. Tasks shall be assigned to the individual best qualified to perform it, irrespective of the firm by whom this person is employed. Please reference the information provided under Element E, Cost Proposal, for additional details concerning delegation of duties and task assignments. Jeff A. Duhamel shall serve as Project Manager, overseeing the execution of tasks and the fulfillment of project deliverables. He will work in concert with Ms. Sue Contreras to coordinate tasks between the firms’ respective labor pools. o Qualifications of Key Personnel Profiles for the Professionals available to perform tasks hereunder are as follows: Jeff A. Duhamel/President & Principal Consultant – MuniEnvironmental Mr. Duhamel has over 26 years of experience in the Solid Waste industry and has worked with numerous municipalities and private sector enterprises in the strategic development of solid waste collection and diversion programs, as well as solid waste facility infrastructure. Mr. Duhamel has spent a significant portion of his career in the regulatory and compliance side of the Solid Waste Industry, working for municipalities in Orange and Los Angeles Counties. Over the last 17 years, he has been the principal consultant in the development of two of Los Angeles County’s largest Material Recovery Facilities (MRF’s), including: D.A.R.T. located in Downey, and Grand Central Recycling and Transfer Station, located in the City of Industry. Mr. Duhamel also has an extensive background of auditing solid waste service providers, both in regard to service rate modifications and operational cost reviews performed over the past two decades. City of Diamond Bar Proposal for Solid Waste Consulting Services May 4, 2022 3 Mr. Duhamel is a hands-on Professional, closely monitoring the professional consulting services provided by his firm on a perpetual basis to the following Cities: Industry, Lynwood, Santa Fe Springs, Bell, West Hollywood, Hawaiian Gardens, County of Monterey, and Bellflower. John A. Telesio/Senior Waste Policy Advisor & Senior Consultant – MuniEnvironmental As a recent addition to MUNI’S professional team, Mr. Telesio is waste industry veteran steeped in Corporate Governance/Strategy, M&A, and Governmental Affairs for municipal solid waste franchising. Mr. Telesio is the previous Owner and President/CEO of Consolidated Disposal Service, Inc. (CDS), headquartered in the City of Santa Fe Springs. In May of 1997, after amassing a market share comprising 12 municipal franchises in the L.A. County, which included Avalon on Catalina Island, with service to over 150,000 residential and 5,000 commercial customers weekly and fleet of 125 vehicles, he successfully merged his company with Republic Services, Inc., at a total transactional value of $38.8M. Following the merger, Mr. Telesio founded and led a financial services boutique, Amicus Asset Management, a Registered Investment Advisory based in Brea, California. Amicus developed a proprietary Managed Futures algorithm, vetted, and adopted in 2006 by Dunn Asset Management, based in Stuart, Florida. In 2007, Mr. Telesio became interim C.E.O. of Moore Electric, a $44M/yr. electrical contracting firm specializing in public infrastructure. He was tasked with executing a financial turn-around plan to thwart imminent default with creditors and municipal sector clients. Within a 12-month period, Mr. Telesio effectuated a corporate reorganization and financial turn-around enabling the company to secure a new, multi-million-dollar revolving credit facility with East West Bank, concurrently increasing the company’s bonding capacity to over $22MM with Zurich Corporation. The company regained its solvency, and the mission critical endeavor was complete. Said services were provided in conjunction with SC Capital Partners, Newport Beach. Complete Landscape, based in Santa Fe Springs, provides municipalities with landscape installation and maintenance services for medians, sidewalks, and parks, as well as tree trimming. The project scope was a reenactment of the others, with a financial turn-around critical to the company’s survival. Within a nine (9) month period, topline revenues were double, and margins expanded apace. This growth was due to the award of excusive landscape maintenance contracts with three local Cities: i.e., Brea, Downey, and Monterey Park, which were bid directly by Mr. Telesio. Lastly, he obtained a clean-fuels grant through the State of California to provide funding for a fleet-wide conversion to near-zero emissions vehicles. Mr. Telesio then assumed the role of Governmental Affairs Consultant for CR&R Incorporated, a privately owned, $300M vertically integrated waste hauler with over 50 municipalities under exclusive franchise. On behalf of CR&R, Mr. Telesio negotiated and secured the award of a $30M, 12.5-year exclusive waste/recycling services franchise in the City of Artesia. City of Diamond Bar Proposal for Solid Waste Consulting Services May 4, 2022 4 Beginning in January of 2019, Mr. Telesio took on another waste industry client: namely, Waste Resources, Inc. (WRI). WRI is the exclusive waste services provider in the Cities of Carson, Gardena, Lynwood, Hawaiian Gardens, and more recently, Glendale. In addition to providing corporate counsel, Mr. Telesio undertook the task of renegotiating an outdated franchise agreement with the City of Lynwood that had halted the pass through of cost increases, precipitating recurring operating losses of over $150k/mo. In late 2021, Mr. Telesio satisfied this deliverable; the City of Lynwood adopted an Amended and Restated Franchise Agreement, drafted by Mr. Telesio and his legal team, which provided for a structural rate adjustment that stanched the losses, while preserving a cap on future rate adjustments, as well as new SB 1383 organics programs, and 3- year term extension. At the beginning of 2022, Mr. Telesio partnered exclusively with MUNI, assuming the role of Senior Waste Policy Advisor/Project Consultant, rounding out the firm’s overall skillset. Trieu Le/Financial Analyst & Staff Consultant – MuniEnvironmental Mr. Le graduated with a Bachelor of Science in Accountancy from California State University, Long Beach. Mr. Le has been on staff since 2014, prior to the firm’s rebranding as Muni. Le has served as the lead Project Manager for the City of Industry contract, where he oversees their entire recycling permit and reporting program; in addition, he has provided ongoing monitoring for the C&D diversion programs in various jurisdictions, including the City of Irvine. Mr. Le’s skillset in accountancy has been key in the audits/analyses of financial data, rate reviews, and Franchise Hauler RFPs, in cities such as Bellflower, Lomita, Lynwood, West Hollywood, Corona, and Hawaiian Gardens. Stephen Howe/Senior Consultant – MuniEnvironmental Mr. Howe has been an environmental consultant based in California since 1992. He has audited and developed waste reduction and recycling programs for hundreds of businesses and schools in the Southern California area. He has also administered a waste diversion competition for the schools in the County of Los Angeles for over 12 years. Each year an average of 60 schools have participated, attesting to the program’s success. His primary field of expertise includes providing hands-on technical assistance to businesses, schools, and school districts, assessing the regulatory requirements they face in addition to providing them with practical solutions. He has an extensive background in solid waste franchise assessment, as well as an in-depth understanding of the regulations governing solid waste collection, diversion, recycling, composting, alternative technologies, food recovery, organics recovery, organics recycling, solid waste disposal, and State legislative requirements. Ms. Contreras is currently providing ongoing consulting services to the cities of Huntington Park, Maywood, El Monte, and La Puente, in areas including, but not limited to, SRRE updates; hauler financial/performance reviews and contract compliance; development and implementation of C&D diversion programs pursuant to CALGreen standards; recycling and organic recovery programs; SB 1383 implementation and reporting; management of the procurement process for solid waste services; hauler contract negotiations; transition management; and the administration of Beverage Container and Used Oil Grants. Kelly Trimmer/Food Recovery Specialist & Staff Consultant– Municipal Waste Solutions Ms. Trimmer is a highly motivated Recycling Coordinator with a background in recycling outreach, marketing, and customer interaction, performing efficiently with respect to AB 939, AB 341, AB 1826 and SB1383. She has excellent relationship-building, communication, and project management skills to garner attention for recycling, procurement, and food donation/rescue. Ms. Trimmer is also well versed as a Food Recovery Specialist while ascertaining compliance status and assisting Food Generators by facilitating Food Donation partnerships. She is also conversant on solid waste franchise agreements and assists with document review and development. City of Diamond Bar Proposal for Solid Waste Consulting Services May 4, 2022 6 Along with her Public Education and Outreach responsibilities, she provides staff support for the SB 1383 Recordkeeping as well as Used Oil and Beverage Container Grants for MWS’ client cities of Huntington Park, Maywood, El Monte, and La Puente. Kyle Ippolito/Regulatory Specialist & Staff Consultant – Municipal Waste Solutions Mr. Ippolito has been actively involved in the waste management industry for over 5 years, augmenting his prior exposure to the nature and specifics of the industry for the privious14 years. He has worked at the ground level of many different types of waste management projects, including that of medical waste (Bio Waste), household hazardous waste, C&D, sensitive document destruction, E-Waste, and most relevant to this project, organic waste. Before joining MWS in late 2021, he had spent the last two years closely working with diverse haulers regarding customer service, logistics, and compliance with Municipal Ordinances. This scope includes waste stream assessments/analyses, and close cooperation with haulers operating in multiple jurisdictions seeking solutions to offset insufficient third party diversion rates. Most recently, his focus has been the implementation of SB 1383, coordinating activities with local businesses to ensure full program compliance. This is occurring now in the cities of El Monte, La Puente, Huntington Park, and Maywood. Such activities include waste assessments, outreach, and education, as well as disseminating the proper educational materials for said businesses to comply with all applicable City and State Mandates. In addition to these responsibilities, Mr. Ippolito acts as Operations Coordinator at MWS and is essential to assuring that customer deliverables are on track for timely fulfillment. B. Project Understanding and Approach o Organizational Structure/Task Assignments MuniEnvironmental uses a standard, pyramidal Organization structure, as stated above. Tasks will be assigned according to the particular discipline possessed by any given professional (e.g., Mr. Li, is a trained accountant, therefore he performs primary financial analyses, etc.). MuniEnvironmental Organizational Chart o Municipal Client Communications Protocol MUNI has adopted a Canon of Ethics for the comportment of all Professional Consultants performing services in the public milieu. Supportable, unbiased, and factually sound representations are the cornerstones of this philosophy. MUNI also recognizes that cities typically designate a primary party responsible for overseeing the Consulting Services received by the agency within any given area. MUNI is deferential to this designation and therefore channels all communications to this individual whenever possible.
