Founded in 1995, ABS originally launched as an Electrical Contracting (C-10) firm 24 years ago. Our experience through the decades has been vast by also adding a CA General B Contracting license a few years after our inception, but our values of who we are as a company have been the pillars of our success. Over the years we've had the opportunity to build a reputation that is founded on a customer - centric mentality, coupled with a firm commitment to excellent craftsmanship. One "badge of honor" we hold is that we implemented the first EVSE installation over 20 years ago in partnership with the City of Duarte, CA where our flagship office still stands. Today, ABS is a building solutions firm offering a full suite of solutions to meet the needs of our diverse client base. Our company is a recognized leader in the general operation and maintenance of building infrastructure for applications such as airports, education, commercial, industrial, as well as a wide range of technical infrastructure. We have 50+years of combined experience as an EVSE provider, which has allowed us to obtain a masterful understanding of what it takes to be a second -to -none owner/operator within this space. As it relates to the City of Diamond Bar specifically, ABS is currently engaged in a number of projects supported by CALeVIP, partnering with SMUD for electric vehicle charging infrastructure. Within the next 6 months ABS will have up to 200 EVSE Units installed, where we will act as the Owner/Operator for this equipment. Our staff includes licensed engineers, lighting certified professionals, project management professionals and tradesman. We are prepared to design and install most identified measures in-house. Our field electricians are card-carrying journeymen. ABS is a member of the Associated Builders and Contractors trade association, which ensures our apprentices receive formal classroom training to go with their on-the-job training. ABS does not manufacture or represent any specific EVSE manufacturer. This separation from products is intentional in nature giving us the flexibility to consider many options with neutrality, and to be an authentic product -agnostic representative on behalf of our valued customers. This approach allows us to offer a true "full service" solution on behalf of our clients. 1.3 Our Approach to Project Development & Execution (When Applicable) Audit Team Selection Our teams are comprised of subject matter experts. We offer a large amount of value to the product procurement process due to our ability to obtain national account level pricing for material, which is savings we pass back directly to our clients. Our team is well versed in this process and can easily take a project from conceptual design through to project closeout. We self -perform all required engineering, project oversight, and labor as a cost benefit to our valued clients as well. Audit Approach ABS use our team of professionals to evaluate all systems that consume energy through detailed onsite studies that are facilitated by our own employee's. Outside of the built environment, we also complete many EVSE feasibility studies on behalf of our clients. As an ABS client, we strive to make our work with you our highest priority. That said, having a firm understanding of the pain points that you may be experiencing today play a large role in how our proposed solutions are crafted. We believe that it's paramount to have this common understanding as early as possible so that even conceptual designs will be in alignment with proving clear solutions to the issues that you may be experiencing today. Investment Grade Audit (IGA) Report Following a series of design review meetings with you as our co -collaborator, we are tasked with compiling our final IGA Report. Our IGA Report is "construction read" in nature, and includes the following information: • Engineered solutions are developed for each measure selected by the owner. • Final detailed energy saving calculations are performed for each measure • Detailed cost estimates are developed for each measure • Our Executive Team conducts final quality review to ensure energy savings are proper and the program addresses the owners' needs and concerns • IGA report is completed and delivered to the client for review and comment Construction ABS' first order of business in commencing construction is to craft and submit a proposed construction schedule. The initial draft of this document is intended to be our first step in collaborating with your team to formulate an implementation strategy that all parties can rally around. Our construction schedule will ultimately be used as a "living document" that is constantly updated and is used for all progressive construction meetings as our project is implemented. Our second order of business, as the project starts, is to make sure that we are communicating with you, our valued client, at a frequency that is in alignment with your expectations. Weekly status meetings for a construction project are typical, where we intend to advise on the status of the project in general, review any discrepancies that have arisen within last week's work, and to collaborate together strategizing on the two week "look ahead" ensuring that we overcome all potential obstacles together. We always intend to have as little impact on the areas surrounding our scope of work as is possible, and this is only accomplished by planning well and by maintaining a high level of communication with you. Project Closeout and Training ABS' commitment to excellence is most critical when it is time to closeout a project. We understand that a lot of other activities related to our work hinge on our ability to be just as strong in closing jobs, and that this effort must have the same high level of priority. We look at this as our opportunity to shine, and we do not take these final activities lightly as we close out all projects on a strong/high note. In addition to proactively completing any/all punch list items, ABS craft's a closeout document that includes the following information: City of Diamond Bar City Hall EV: Request For Proposal (RFP Owner/Operator Partnership For City of Diamond Ba October 28, 201! • All shop drawings that document the projects progression. • A comprehensive set of all logs including all RFI's, and subsequent actions that were taken. • All manufacturer data/cut sheets for all products used for the installed scope of work. • ABS team member and manufacturer points of contact. • Any other customized data that our client would request to be included. After Care — Maintenance, Operations, Warranty and Service The "after care" component of a project is the most important ingredient to a successful installation, and it's one that is most often overlooked. As a standard for project's that we have installed, ABS acts as a liaison between our clients and the manufacturer of products that we have installed for our projects. We guarantee to our customer in the "post project" phase that should any issue arise in the materials that have been installed, that they only need call us and it will be resolved as quickly as possible. We typically honor this commitment for the duration of the manufacturer warranty with no further cost to our clients. When applicable, our clients can also choose to have ABS maintain and operate newly installed equipment under our standard Services Contract. This option allows us to ensure that all newly installed equipment operates at its optimal state for the rated life of the equipment. Attached as Exhibit A is the placement of the charging stations. A. Premises I. Host Property: City Hall, City of Diamond Bar, 21810 Copley Dr, Diamond Bar, CA 91765 The location where the Charging Station(s) shall be installed at the Host Property (the "Premises") is shown on the attached Exhibit B. B. Charging Services 1. Term. The term of this Agreement (the "Term") shall commence on the Agreement Date and continue until 5 (05) years following the date the Charging Stations are first operational (the "Commencement Date"). The Agreement will automatically renew for successive one (1) year periods, unless terminated by either party upon at least thirty (60) days prior written notice. ABS shall send to Host notice of the Commencement Date within a reasonable period following the occurrence of such date. 2. Charging Services. During the Term, ABS shall provide the following services (the "Charging Services"): a. ABS shall install Operate and Maintain at the Premises, the following: • Operations and Maintenance of 5 Level 2 units • ABS will provide ongoing support and monitoring of the Level 2 for a period of 5 years. ABS will provide the necessary "access control "for charging. • ABS shall retain all rights to Low Carbon Fuel Credits (LCFS) • ABS will be the Point of Contact for "back Office" transactions. The Charging Station(s) shall be available to City of Diamond Bar, City Hall as part of an open network. ABS and its employees, contractors, and vendors may, at any time during the Term, access the Premises and Host Property to maintain, inspect, repair, any portion of the Charging Station(s). C. Installation Activities 1. ABS shall, at its sole cost and expense, conduct all installation activities (the "Installation Activities") required to support the installation and operation of the Charging Station(s) and Charging Services, including the hiring and coordination of all vendors and contractors; the installation of electrical equipment, hardware, and software; site preparation, trenching. 2. On completion of the installation of the Charging Station(s), ABS shall retain all ownership rights therein to the Charging Station(s) back office activities. This is offered so (Host) does not have to support on their own the Operations and Maintenance responsibility. This is the value -add service provided by ABS. This Agreement shall be interpreted and construed in accordance with the laws of the State of California. Venue for any action involving this Agreement shall be in Diamond Bar, California. Each party hereby submits to the jurisdiction of California's state and federal courts for purposes of any legal action involving this Agreement. 2. ABS expressly acknowledges that it shall comply fully with all applicable federal, state and local laws, rules and regulations. 3. This Agreement can be modified or amended only by a written agreement signed by the parties hereto. All written notices provided for in this agreement will be given by U.S. certified mail, postage prepaid and return receipt requested, or by overnight mail by a reputable carrier, and addressed as written below.
