CALL TO ORDER: Chairman Herrera called the Tres Hermanos Conservation Authority Board of Directors meeting to order at 5:30 p.m. in the Diamond Bar City Hall Windmill Community Room, 21810 Copley Drive, Diamond Bar, CA 91765. PLEDGE OF ALLEGIANCE: Chairman Herrera led the Pledge of Allegiance. ROLL CALL: Carol Herrera, Chairman (CH); Art Bennett, Vice Chairman (DB); Peter Rogers, Delegate; Ron Everett, Delegate (DB); James DeStefano, Deputy Executive Director (DB) and Ray Hanson, Deputy Executive Director, (CH). 2, PUBLIC COMMENTS: None Offered. 3. CONSENT CALENDAR: Upon motion, duly seconded to approve the Consent Calendar as presented with the exception of Item 3.4 the motion was so ordered without objection. 3.1 APPROVED MINUTES OF March 21" 2011 —As presented. 3.2 RECEIVED AND FILED CHECK REGISTER for the Time Period from March 1, 2011 through February 29, 2012. 3.3 RECEIVED AND FILED TREASURER'S STATEMENTS for the months of February 2011 through January 2012. MATTERS WITHDRAWN FROM CONSENT CALENDAR: 3.4 RECEIVED AND FILED INDEPENDENT AUDITOR'S REPORT for Fiscal Year Ending June 30, 2011 — Received and Filed. Delegate Everett questioned the board member and officer delegations called out in the report. DED/Hanson explained that current Chair and Vice Chair took office in March. Upon motion duly seconded, Item 3.4 was unanimously received and filed without objection. 4. OLD BUSINESS: None MARCH 19, 2012 PAGE 2 THCA 5. NEW BUSINESS: 5.1 CONFIRMATION OF APPOINTMENTS: Upon motion, duly seconded, Items (a) and (b) were unanimously approved without objection: (a) Chino Hills Mayor Art Bennett and Vice Mayor Peter Rogers as Delegates to the Tres Hermanos Conservation Authority. (b) Diamond Bar Council Members Carol Herrera and Ron Everett as Delegates to the Tres Hermanos Conservation Authority. 5.2 APPROVE FISCAL YEAR 2012/13 AND FISCAL YEAR 2013/14 AUTHORITY BUDGET. Upon motion, duly seconded, the Fiscal Year 2012/13 and Fiscal Year 2013/14 Authority Budget was unanimously approved without objection. 6. AUTHORITY MEMBER COMMENTS: VC/Bennett asked if when the City of Industry made these investments years ago with this land did they use RDA funding and asked if they would have to transfer some type of ownership at this time. Chair/Herrera responded yes to both and ED/DeStefano stated that the demise of the Redevelopment Agencies within the various cities has created, among other things, a requirement that they dispose of their Agency assets including land that they purchased with Agency dollars. He said that it was his understanding that the City of Industry purchased Tres Hermanos through their Redevelopment Agency some 40 years ago. It is also his general understanding that they transferred the asset to the City in about January or March of last year as they did other assets they had that were owned by the Redevelopment Agency. He believes that the properties are now owned by the City of Industry and not the Redevelopment Agency. He said he would check on the matter and let everyone know. VC/Bennett asked if ED/DeStefano would also check on the legal aspect of the matter because similar to a bankruptcy, people are not supposed to go out and dispose of certain assets or make large purchases. VC/Bennett asked that the Authority be advised about whether when the property was passed to the City of Industry there was sufficient time before demise of the RDA. ED/DeStefano said he could not speak to the legal aspects of the matter and most likely legal staff will not be able to as well. However, there are statements within the new Redevelopment Dissolution legislation that speaks to such transactions and it goes back a certain period of time to about March or January of 2011. He said he would look into what the legislation states and when the MARCH 19, 2012 PAGE 3 THCA transaction took place and let others decide whether it was an appropriate transaction. He suspects this will be an issue for a lot of cities that might have undertaken similar actions over the last calendar year. VC/Bennett said that given the fact that City of Industry owns so many acres in the City of Chino Hills it could be a major issue for this body, especially given the fact that there has not been a lot of cooperation when it comes to trying to develop that property or determine what will happen long-term. Chair/Herrera said she believed Authority elections would take place in March 2012. 8.
