MINUTES OF MAY 16, 2016
1. CALL TO ORDER: Chair Herrera called the Tres Hermanos Conservation
Authority Board of Directors meeting to order at 5:30 p.m. in the Grand
Conference Room of Diamond Bar City Hall, 21810 Copley Drive, Diamond Bar,
CA.
PLEDGE OF ALLEGIANCE: Chair/Herrera led the Pledge of Allegiance.
ROLL CALL: Chair/Carol Herrera (DB); V/Chair Ray
Marquez, (CH); Art Bennett, Delegate (CH); Ruth Low, Alternate Delegate (DB);
and James DeStefano, Executive Director (DB).
Konradt Bartlam excused.
Guests Present: Cynthia Smith and Claire Shlotterbeck
2. PUBLIC COMMENTS: None Offered,
3. CONSENT CALENDAR:
Upon motion duly seconded, all Consent Calendar items were approved as
presented by unanimous vote:
3.1 APPROVED MINUTES OF April 20, 2015 — AD/Low and V/Chair Marquez
abstained from voting on the Minutes.
3.2 APPROVED CHECK REGISTER for the Time Period from March 1, 2015
through February 28, 2016.
3.3 RECEIVED AND FILED TREASURER'S STATEMENTS for the months of
March 2014 through February 2015.
3.4 RECEIVED AND FILED INDEPENDENT AUDITOR'S REPORT for Fiscal
Year ending June 30, 2015.
3.5 CONFIRMATION OF APPOINTMENTS:
a) Chino Hills Mayor Art Bennett and Vice Mayor Ray Marquez as
Delegates to the Tres Hermanos Conservation Authority.
b) Diamond Bar Council Member Carol Herrera as Delegate; and, Council

5. NEW BUSINESS:

5.1 AUTHORIZE THE SELECTION OF CITIZENS BUSINESS BANK AS THE
AUTHORITY'S BANKING SERVICES PROVIDER.
Ben Montgomery, Management Analyst, stated that the relationship with
Bank of America goes back several years when the City of Chino Hills
banked with that institution. Chino Hills now banks with Citizens Bank and
staff discovered that it is much more difficult to deal with Bank of America
on such a small account since they are no longer the primary bank.
Switching to Citizens Business Bank would not only increase the efficiency
in dealing with the bank but save money as well. Currently, this account
accumulates almost $20 per month in charges for no activity with Bank of
America, and Citizens Business Bank will provide the service at no
charge.
ED/DeStefano said he concurs with the recommendation and had no
objection to changing the bank.
Upon motion by D/Bennett seconded by AD/Low, and with no objection,
the motion for authorization of Citizens Business Bank as the Authority's
banking services provider was so ordered.
6. AUTHORITY MEMBER COMMENTS:
D/Bennett asked for an update on the City of Industry Redevelopment Agency's
transfer back of the Tres Hermanos property.
ED/DeStefano said he was not aware of what was happening. There has been a
complete transformation of their Council and staff which happened about a year
ago. Industry continues to deal with the Department of Finance on the
dissolution of their Redevelopment Agency and they called off the proposed
solicitation of consultants to help them set up the Tres Hermanos property for
sale. The last he heard unofficially, was that the City of Industry was going to try
to buy the property from the Redevelopment Agency. So the root issue will be
what the new Council sees as their vision for the use of that property that they
own and how that compares with the vision between the cities of Diamond Bar
and Chino Hills. At some point all parties should sit down and begin a
conversation about that and honestly, it is probably too soon for that to happen
because of all of the changes.
D/Marquez said he spoke with the Assistant to the City Manager who told him
this has been a hot topic and the impression he got from her was that the City of
Industry was trying to buy the property. Supposedly, there was a deal for $101
million on the table that was not accepted. She also stated that she felt the

Council will try to buy the property. There have been numerous closed sessions
(on this matter) and possibly in the near future something will be forthcoming. As
ED/DeStefano stated, four out of five Council Members are new and there is a
new city manager.
ED/DeStefano said that the Assistant to the City Manager has been with Industry
for many years (20 plus) and for many of those years she was the city manager's
executive assistant.
ED/DeStefano said that Diamond Bar would be looking at Tres Hermanos more
in the next couple of years because the City is just beginning what will likely be a
three-year General Plan process/update. He said he hoped that the Authority
and the cities would hear something from Industry in the next year or so.
ED/DeStefano commented that the problem with the "bypass roadway" is that it
may be of benefit to Chino Hills residence or others coming west and going south
but it destroys the environment and it destroys the Diamond Bar commercial
base.
D/Bennett asked if the Confluence lane, widening of the Grand Avenue overpass
and truck bypass was dead.
ED/DeStefano responded that it is moving forward. It is a four -phased 57/60
Confluence "Big Fix" project. The first phase is now under construction which is
developing a new right -turn lane at the old Honda Dealership property to get on
the freeway going west. The next phase will begin September/October which will
involve an off/on ramp on the other side of the freeway, some bridge widening
and a lot of widening at Golden Springs and Grand Avenue. The third phase is
more bridge widening and the final phase is the mainline improvement. The first
three phases are fully funded and the mainline will either be funded through a
federal grant that Diamond Bar has applied for and continue to seek resources
for; or, the LA County Measure R2 project that is coming before the voters in
November (1/2 cent sales tax) and if passed, monies allocated in that measure
will go to fund Phase four. Diamond Bar has been involved in this for 15-20
years and during the last 10 or 12 years Chair/Herrera has led the charge in
Diamond Bar to help get the funding from the federal government. There is an
average of 600 vehicular accidents a year at this freeway intersection and the
idea is that by segregating out the lanes and people having to make a decision
far earlier as to where they are going and how they will get there will eliminate
many hundreds of those accidents while adding capacity and speed through the
intersection.
8. ADJOURNMENT: There being no further business to conduct, Chairman
Bennett adjourned the meeting at 5:51 p.m.

Recommendation:
That the Authority approve the attached check register for the time period from March 1,

Background/Analysis:
In order to maintain good accounting practices, the check register of the Authority should be
periodically reviewed and approved by the Authority. During the period from March 1, 2016,
through August 9, 2017, only two checks were written. These checks were written in order
to pay the auditors for the year end field work and annual audit.

We have audited the accompanying financial statements of the governmental activities, and the general
fund of the Tres Hermans Conservation Authority, (the Authority) as of and for the year ended
June 30, 2016, and the related notes to the financial statements, which collectively comprise the
Authority's basic financial statements as listed in the table of contents.
Management's Responsibility for the Financial Statements
Management is responsible for the preparation and fair presentation of these financial statements in
accordance with accounting principles generally accepted in the United States of America; this includes
the design, implementation, and maintenance of internal control relevant to the preparation and fair
presentation of financial statements that are free from material misstatement, whether due to fraud or
error.
Auditor's Responsibility
Our responsibility is to express opinions on these financial statements based on our audit. We conducted
our audit in accordance with auditing standards generally accepted in the United States of America and
the standards applicable to financial audits contained in Government Auditing Standards, issued by the
Comptroller General of the United States. Those standards require that we plan and perform the audit to
obtain reasonable assurance about whether the financial statements are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in
the financial statements. The procedures selected depend on the auditor's judgment, including the
assessment of the risks of material misstatement of the financial statements, whether due to fraud or
error. In making those risk assessments, the auditor considers internal control relevant to the entity's
preparation and fair presentation of the financial statements in order to design audit procedures that are
appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of
the entity's internal control. Accordingly, we express no such opinion. An audit also includes evaluating
the appropriateness of accounting policies used and the reasonableness of significant accounting
estimates made by management, as well as evaluating the overall presentation of the financial

Other Matters
Required Supplementary Information
Accounting principles generally accepted in the United States of America require that the
Budgetary Comparison Schedule Information for the General Fund as listed in the table of contents be
presented to supplement the basic financial statements. Such information, although not a part of the
basic financial statements, is required by the Governmental Accounting Standards Board who considers it
to be an essential part of the financial reporting for placing the basic financial statements in an
appropriate operational, economic, or historical context. We have applied certain limited procedures to
the Budgetary Comparison Schedule Information for the General Fund in accordance with auditing
standards generally accepted in the United States of America, which consisted of inquiries of
management about the methods of preparing the information and comparing the information for
consistency with management's response to our inquiries, the basic financial statements, and other
knowledge we obtained during our audit of the basic financial statements, We do not express an opinion
or provide any assurance on the information because the limited procedures do not provide us with
sufficient evidence to express an opinion or provide any assurance,
Management has omitted the management's discussion and analysis that accounting principles generally
accepted in -the United States of America require to be presented to supplement the basic financial
statements, Such missing information, although not a part of the basic financial statements, is required by
the Governmental Accounting Standards Board, who considers it to be an essential part of financial
reporting for placing the basic financial statements in an appropriate operational, economic, or historical
context. Our opinion on the basic financial statements is not affected by this missing information.
Other Reporting Required by Government Auditing Standards
In accordance with Government Auditing Standards, we have also issued our report dated
October 10, 2016, on our consideration of the Authority's internal control over financial reporting and on
our tests of its compliance with certain provisions of laws, regulations, contracts, and grant agreements
and other matters. The purpose of that report is to describe the scope of our testing of internal control
over financial reporting and compliance and the results of that testing, and not to provide an opinion on
internal control over financial reporting or on compliance. That report is an integral part of an audit
performed in accordance with Government Auditing Standards in considering the Authority's internal

I. SIGNIFICANT ACCOUNTING POLICIES
Note 1: Organization and Summary of Significant Accounting Policies
a. Description of the Reporting Entity
The Tres Hermanos Conservation Authority (Authority) is ajoint powers agency created by a
joint powers agreement between the cities of Chino Hills and Diamond Bar, California, dated
January 19, 1999. It was created pursuant to Articles 1 through 4 of Chapter 5, Division 7,
Title 1 of the Government Code of the State of California, in accordance with the provisions of
the Marks -Roos Local Bond Pooling Act of 1985. The purpose of the Authority is to create a
public entity to coordinate the overall development and conservation of a large undeveloped
area of real property known as the Tres Hermanos Ranch, by preparing studies, plans,
environmental reviews and similar information and by making recommendations to its
members to take such actions including, but not limited to, acquisition and eminent domain as
are necessary to implement its recommendations.
The Authority is a public entity separate and apart from each of the Cities. The funds of the
Authority have not been included within the scope of the basic financial statements of the
Cities because the Authority has its own governing board that has responsibility over the
operations of the Authority. Only the funds of the Authority are included herein, therefore,
these financial statements do not purport to represent the financial position or results of
operation of the cities of Chino Hills or Diamond Bar.
b. Government -Wide and Fund Financial Statements
The government -wide financial statements (Statements of Net Position and Statement of
Activities) report information on all activities of the Authority.
The statement of activities demonstrates the degree to which the direct expenses of a given
function or segment is offset by revenues. Direct expenses are those that are clearly
identifiable with a specific function or segment. Revenues include contributions of the
participating agencies,
c. Measurement Focus, Basis of Accounting and Financial Statement Presentation
The government -wide financial statements are reported using the economic resources
measurement focus and the accrual basis of accounting. Revenues are recorded when
earned and expenses are recorded when a liability is incurred, regardless of the timing of
related cash flows.
Sometimes the government will fund outlays for a particular purpose from both restricted
(e.g., restricted bond or grant proceeds) and unrestricted resources. In order to calculate the
amounts to report as restricted — net position and unrestricted — net position In the
government -wide and proprietary fund financial statements, a flow assumption must be made
about the order in which the resources are considered to be applied. It is the government's
policy to consider restricted — net position to have been depleted before unrestricted — net
position is applied.

Governmental fund financial statements are reported using the current financial resources
measurement focus and the modified accrual basis of accounting. Revenues are recognized
as soon as they are both measurable and available. Revenues are considered to be available
when they are collectable within the current period or soon enough thereafter to pay liabilities
of the current period. For this purpose, the government considers revenues to be available if
they are collected within 60 days of the end of the current fiscal period. Expenditures
generally are recorded when a liability is incurred, as under accrual accounting.
Sometimes the government will fund outlays for a particular purpose from both restricted and
unrestricted resources (the total of committed, assigned, and unassigned fund balance). In
order to calculate the amounts to report as restricted, committed, assigned, and unassigned
fund balance in the governmental fund financial statements a flow assumption must be made
about the order in which the resources are considered to be applied. It is the government's
policy to consider restricted fund balance to have been depleted before using any of the
components of unrestricted fund balance. Further, when the components of unrestdcted fund
balance can be used for the same purpose, committed fund balance is depleted first, followed
by assigned fund balance. Unassigned fund balance is applied last.
d. Assets, Liabilities and Net Position or Equity
Cash and Cash Equivalents
Cash and cash equivalents consist of demand deposits that are maintained in a bank
account to pay obligations of the Authority. Cash and cash equivalents are reported at
fair value on the accompanying statement of net position and governmental fund balance
sheet,
Functional Classification
Expenditures of the Authority are classified as general government.
e. Deferred Outflows/Inflows of Resources
In addition to assets, the statement of net position and governmental fund balance sheet will
sometimes report a separate section for deferred outflows of resources. This separate
financial statement element, deferred outflows of resources, represents a consumption of
net position that applies to a future period(s) and so will not be recognized as an outflow of
resources (expense/expenditure) until then. The Authority has no items that qualify for
reporting in this category.
In addition to liabilities, the statement of net position and governmental fund balance sheet
will sometimes report a separate section for deferred inflows of resources. This separate
financial statement element, deferred Inflows of resources, represents an acquisition of
net position that applies to a future period(s) and so will not be recognized as an inflow of
resources (revenue) until that time. The Authority has no items that qualify for reporting in this
category.
Note 2: Cash and Cash Equivalents

bank balance was $96,019,

Subject: APPOINTMENT OF THE CHAIRPERSON, EXECUTIVE DIRECTOR,
DEPUTY EXECUTIVE DIRECTOR, AND TREASURER/AUDITOR
POSITIONS AND AUTHORIZE STAFF TO FILE NEW BANK SIGNATURE
CARDS WITH THE AUTHORITY'S BANKING SERVICES PROVIDER
Recommendation:
1. Appoint a Board Chairperson, Executive Director, Deputy Executive Director, and
Treasurer/Auditor in accordance with the Tres Hermanos Conservation Authority
by-laws as listed below.

Dan Fox, Deputy Executive Director
Christa Buhagiar, Treasurer/Auditor
2. Authorize staff to file new bank signature cards as appropriate for any new
appointments.
Background/Analysis:
Pursuant to the Tres Hermanos Conservation Authority (Authority) By -Laws, the Board
shall elect from among its members a Chairman. In addition, the board shall appoint the
Executive Director, Deputy Executive Director, and Treasurer/Auditor positions.
The Chair position rotates between Authority Directors representing the cities of Chino
Hills and Diamond Bar. At no time shall the Chair and Vice -Chair be from the same
participating agency. Staff asks that the Authority Board select a Chairperson from
among its members.
The Executive and Deputy Executive director positions are held by the Chino Hills and
Diamond Bar City Managers. The Treasurer/Auditor position is held by the Chino Hills
Finance Director. New officer appointments are needed as a result of the retirement of
the Diamond Bar City Manager, James DeStefano and the Chino Hills Finance Director,
Judy Lancaster. These positions have been filled by Mr. Dan Fox as the new City
Manager in Diamond Bar and Christa Buhagiar is the new Finance Director in Chino Hills.
Staff recommends the Board make the following appointments: Konradt-Bartlam —
Executive Director; Dan Fox, Deputy Executive Director; and Christa Buhagiar —
Treasurer/Auditor. Upon appointment, the officers will be authorized to execute their
duties as established by the by-laws and will be added to the Tres Hermanos
Conservation Authority banking records.
