CALL TO ORDER: Chairman Norton -Perry called the Tres Hermanos Conservation Authority Board of Directors Meeting to order at 5:33 p.m. in the Chino Hills City Hall Council Chambers, 2001 Grand Avenue, Chino Hills, CA. ROLL CALL: Gwenn Norton -Perry, Chairman (CH); Bob Zirbes, Vice Chairman (D.B.); Carol Herrera (D.B.); Curt Hagman, (CH). Also present were: James DeStefano, DB City Manager; John Mura, CH Assistant to the City Manager; Helene Smookler, representing Legal Counsel; and Stella Marquez, DB Senior Administrative Assistant. Executive Director Doug LaBelle was excused. PLEDGE OF ALLEGIANCE: Board Member Herrera led the Pledge of Allegiance. 2, PUBLIC COMMENTS: William Brady spoke about the first time he visited and fell in love with Tonner Canyon. He felt the beauty and magic of the canyon should be maintained through creative multiple land use development. Chair/Perry stated that the property is zoned Rural Residential and that the goal of the Authority is to make sure the area is preserved. She advised that currently there is no specific or master plan for the area. VC/Zirbes agreed and said that Diamond Bar was interested in knowing what could be done with the area and what would be acceptable for the community instead of waiting for the property owner to decide. Art Bennett, Chino Hills Planning Commissioner, GPAC member, and concerned citizen, felt the best use of the area would be a "Mixed -Use' project that lent itself to maintaining the rural character of the area to the greatest extent possible. He felt a viable alternative and solution would be to work with a developer to encourage the "Mixed -Use" type of project that was surrounded by a public golf course that would generate revenue and more than pay for itself. 3. CONSENT CALENDAR: M/Hagman moved, VC/Zirbes seconded, to approve the Consent Calendar. Without objection, the motion was so ordered. 3.1 APPROVED MINUTES OF JUNE 26, 2006 — As presented. JULY 31, 2006 PAGE 2 4. OLD BUSINESS: None 4.1 APPROVAL OF PROPOSED BYLAWS AMENDMENTS. THCA VC/Zirbes moved, M/Hagman seconded to approve the bylaws amendments as presented. Without objection, the motion was so ordered. 5.2 DISCUSSION REGARDING REQUEST FOR PROPOSALS FOR TRES HERMANOS CONSULTING SERVICES. DBCM/DeStefano reported that during comments at the last meeting it was decided that the Board would discuss the possibility of hiring a consultant to craft a land use plan for Tres Hermanos. Almost a year ago staff recommended that the Board first have an economic consultant produce a market study to determine whether the area could support a variety of land uses and what market trends might be in several years as well as what would best serve the two cities and landowners. DBCM/DeStefano responded to VC/Zirbes that staff would be interested in acquiring information about what was feasible for the property. Each City has land use classifications for the property and residential development is an immediate possibility. Staff would hope to get someone of the quality of Kaiser Marsden to conduct the study because he is an outstanding consultant in this particular field. DBCM/DeStefano said he spoke with City of Industry's Planning Director Mike Kissel last week and invited him and anyone else from the City of Industry to join tonight's meeting. He confirmed that they had received the June meeting information as well as, tonight's agenda. He indicated that for City of Industry the timing was not appropriate to discuss the matter and felt it would be better for the Board to discuss what they would like to see for the site and present that information to the City of Industry. DBCM/DeStefano stated that during the Transportation Summit on Friday he had spoken with John Ballard, City of Industry Public Works Director and was told that from their perspective it was still too soon. Helene Smookler, faculty member, USC School of Policy, Planning and Urban Development stated there were programs available that allowed graduate students to conduct these types of major studies. VC/Zirbes suggested Ms. Smookler pass along her information to DBCM/DeStefano for evaluation. VC/Zirbes suggested continuing this discussion to the August 28 meeting and recommended that staff work with the D.B. consultant to interface with City of Industry and determine whether they would prefer a land use or market study; whether they would want to include the entire canyon; and, ask the City of Industry to pay for the study. JULY 31, 2006 PAGE 3 THCA VC/Zirbes further stated that while City of Industry believes discussions are premature they should be told that D.B. and Chino Hills believe it is important to start moving forward to gather "idea" information about what would be acceptable to the two cities in consideration of the rights of the property owner. He said he would like to have City of Industry fund the study and also provide parameters for the RFP. Chair/Perry asked staff to provide a detailed outlined for a proposed RFP at the August 28 meeting. She encouraged the Board to proceed to engage a graduate program to conduct a longer-term master plan study. M/Herrera said that several years ago Chino Hills and D.B. talked about including commercial that would bring sales tax dollars to both cities and not necessarily "housing" per se. It would have to be a unique plan for the area that would be a "destination" place. Chair/Perry agreed that the desire was not to have more housing. Art Bennett said that if a golf course were built should retain the water feature. He recalled that prior discussions regarding long-term leases included a minute version of the San Antonio River Walk with "tasteful' retail that would generate sales tax dollars. Helene Smookler said she would check on the 'open" reservoir issue and whether City of Industry was exempt from the new DWP regulations. 5. NEW BUSINESS: None 6. James DeStefano, Authority Secretary ATTEST: GWEN NORTON -PERRY, Chairman Agenda No. 5.1 Tres Hermanos Conservation Authority REQUEST FOR PROPOSALS TRES HERMANOS SITE CITY OF DIAMOND BAR Community Development Department 21825 Copley Drive Diamond Bar, CA 91765-4178 Telephone (909) 839-7030 August xx, 2006 CITY OF CHINO HILLS 2001 Grand Avenue Chino Hills, CA 91709-4869 Telephone: (909) 364-2600 TRES HERMANOS AUTHORITY REQUEST FOR PROPOSALS INTRODUCTION Tres Hermanos is unique in that it is a large undeveloped property with rolling hills and grasslands and a central valley area that is surrounded by fully developed residential and institutional areas within the cities of Diamond Bar and Chino Hills. Tres Hermanos encompasses approximately 2600 -acres with approximately 800 acres of the site lying within the northeastern portion of City of Diamond Bar in Los Angeles County and approximately 1600 acres within the City of Chino Hills in San Bernardino County. The entire property is owned by the City of Industry's Urban Development Agency. The Tres Hermanos Conservation Authority (the Authority) is a joint power authority between the cities of Diamond Bar and Chino Hills with the City of Industry. The purpose of the Authority is guide development in this area is a sensitive manner that is beneficial to both cities. The Authority is seeking multi -disciplinary firms to assist with formulating a land use concept plan for the entire site that will include an analysis of market opportunities, economic impacts, environmental constraints, land use potential, and circulation and traffic issues associated with future development. BACKGROUND Regional and Local Context Map of region The site is located just southeast of the junction of the 60 and 57 Freeways in the easternmost part of Los Angeles County and the westernmost part of San Bernardino County. The 71 Freeway is located to the west of the site. Currently local access to the site is limited to Chino Hills Parkway that runs along the northeastern boundary of the site and Grand Avenue, which bisects the site. Although the site itself is mostly undeveloped, it is surrounded by residential uses along the western and eastern borders. The southern section of Tres Hermanos borders what is referred to as the Firestone Boy Scout Reservation. Diamond Bar Ranch High School sits on the northeastern portion of the site. Environmental Setting Wa f hillsides of open grasslands dominate the property, which has historically been usea Tor cattle gazing tnat continues to tnis oay. in areas tnat nave not been touched by cattle grazing, there can be found groves of Oaks and Sycamores and native vegetation that includes coastal sage scrub and cactuses. The hillsides drain south into Tonner Canyon wash that traverses most of the center portion of the site, particularly that area south of Grand Avenue. There are several areas where water can be seen within in the canyon area. Just south of Grand Avenue, there is a small lake, known as Lake Arnold, and marshy areas where water levels rise and fall according to the seasonal rains. Regulatory Setting Currently the General Plan for the City of Diamond Bar designates the property as a PA-1/Specific Plan (Planning Area No. 1 with Specific Plan requirement) and is intended for development with educational, residential, commercial and institutional uses that are part of master planned community. The property is zoned AG (Agricultural) and is intended for agricultural and related uses with one dwelling unit allowed per five gross acres. The City of Chino Hills General Plan designates the portion of the property within that city as Agricultural/Ranch which permits a density of 0-0.2 dwelling units per acre and is intended for agriculture and related uses such as equestrian estates, cattle grazing, and other types of agriculture. The property is zoned R -A (Agricultural Ranch) and allows for agriculture and related uses. Measure U, a growth control measure approved by the voters, limits the number of residential units that can be built on a property to the number allowed by the General, Plan. Presently, the number of units on the Tres Hermanos site is limited to approximately 320 dwelling units. Any increase in the number of residential units for the site must by approved by the voters. PROJECT DESCRIPTION The Authority is seeking proposals to provide a conceptual land use study for the Tres Hermanos site. The purpose of the study is to provide an overall guide to direct how the property can best be developed in the future. The study should also include a comprehensive study on the best use of the site that would benefit both the City of Diamond Bar and the City of Chino Hills as well as the property owner. Because of the natural beauty of the site, the master plan should be approached in a sensitive manner to ensure that the natural/environmental assets are protected. The conceptual land use study should take a multi -disciplinary approach to planning for the site and include an economic analysis, environmental opportunities and constraints, analysis of circulation requirements, housing needs analysis, commercial needs analysis, and a conceptual plan indicating potential land uses. The study shall cover entire 2600 -acre site and involve two separate land use scenarios for the plan. The final document should include both conceptual land use maps and text descriptions of the proposed land uses. c REQUIREMENTS, SCOPE OF WORK AND PRODUCTS All proposals must include a detailed scope of work, time table, and the necessary tasks to complete the work. Proposals must be outlined in a clear and logical format and the conceptual land use study should include, at a minimum, the following sections: A. Site Description: Review of the current physical nature of the site; B. Land Use Study: A minimum of three conceptual land use plan scenarios. The conceptual land use plan could include some or all of the following uses: residential; commercial; recreational; and institutional. C. Economic analysis: An economic analysis should be provided for each of the proposed land use scenarios; D. Housing Need Analysis: Analysis of housing needs for the cities of Diamond Bar and Chino Hills as relates to the site; E. Environmental description: General review of the environmental opportunities and constraints. F. Maps and diagrams along with text descriptions of the proposed land uses. Final Product in a colored booklet form on 11" x 17" format. SCOPE OF SERVICES A. Major tasks to be completed: 1. Project management The completion of the scope of services may require the formation of a project team under the direction of a single project manager. 2. Preparation of all necessary maps, concept drawing, color renderings, diagrams, etc. for the project. 3. Presentations to Diamond Bar and Chino Hills City staff, Diamond Bar and Chino Hills City Councils and the Authority. 4. Research records to obtain all previous studies on the site. B. Progress meetings and public meetings: 1. Members of the consultant team should be available to meet with the City's team as needed to discuss the project status. 2. Members of the project time shall be available to attend meetings with the Authority, Planning Commission and City Council. C. Copies: One reproducible master of the Tres Hermanos Study. One reproducible master on a CD (writeable). Fifty hard copy of the Tres Hermanos Study shall be provided to the City of Diamond Bar. SELECTION CRITERIA The Authority will evaluate the information submitted. The evaluation will consider the following criteria when reviewing your proposal: 1. Approach to the work including task breakdown and staffing, forty-five percent (45%). 2. Experience and technical competence of your firm and key people on similar projects of equal complexity, thirty percent (30%). 3. Reports of references, and the willingness to agree to all terms of the Professional Services Agreement, twenty-five percent (25%). The Authority reserves the right to accept or reject any or all proposals or to waive any defects or irregularities in the proposals or selection process. CITY SUPPORT The City will make available without cost copies of any reference plans, previous studies, and maps that are requested and available from the City. PROPOSAL CONTENTS The proposal shall include, as a minimum: A. Statement of familiarity with the project area. B. Statement of the ability to commit to the scope C. A statement that this RFP shall be incorporated in its entirety as a part of the Consultant's quote. D. A statement that this RFP and the Consultant's proposal will jointly become the Scope for Professional Consultant Services for this project. A purchase order will be issued upon acceptance of the quote. E. A statement that the services to be provided, and fees therein, will be in accordance with the City's RFP except as otherwise specified in the Consultant's quote under the heading "Exceptions to the City's Request for Proposals." F. A single and separate section with the heading "Exceptions to the City's Request for Proposals" containing a complete and detailed description of all of the exceptions to the provisions and conditions of this RFP upon which the Consultant's proposal is contingent and which shall take precedent over this RFP. G. A Statement of Qualifications applicable to this project including the names, qualifications and proposed duties of the Consultant's staff to be assigned to this project; a listing of recent similar projects completed including the names, titles, addresses, and telephone numbers of the appropriate persons which the City can contact. H. A statement that all charges for services will be a "not to exceed fee", as submitted with and made part of said Consultant's quote. A copy of the Consultant's hourly rate schedule and a written statement that said hourly rate schedule is part of the Consultant's quote for use in invoicing for progress payments and for extra work incurred that is not part of this RFP. J. A written statement by the Consultant that all federal laws and regulations shall be adhered to notwithstanding any state or local laws and regulations. In case of conflict between federal, state, or local laws or regulations, the strictest shall be adhered to. K. A written statement by the Consultant shall allow all authorized federal, state, county, and City of Diamond Bar officials access to place of work books, documents, papers, fiscal, payroll materials, and other relevant contract records pertinent to this project. All relevant records shall be retained for at least three years. L. A written statement that the Consultant will no discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin. M. A written statement that the Consultant shall comply with the California Labor Code. Pursuant to said regulations entitled: Federal Labor Standards provision: Federal Prevailing Wage Decision; and State of California Prevailing Wage Rates, respectively. N. A written statement that the Consultant shall comply with the Copeland Anti - kickback Act (18 USC 874 C) and the implementation regulation (29 CFR 3) issued pursuant thereto, and any amendments thereof. Professional Services Agreement The Authority has provided a copy of the Agreement for Professional Services. Please review this agreement and provide the Authority with a written statement of your firm's willingness to accept the terms of the agreement. Please specifically identify each and every term of the agreement that your firm is unwilling to accept and the reason therefore. Prevailing Wages The Proposer agrees to abide by the requirements under Section 1773 of the Labor Code of the State of California for general prevailing wages where it is applicable. Equal Employment Opportunity N Proposers will be required to comply with the President's Executive Order No. 11246 (Equal Employment Opportunity clause) as amended by Executive Order 11375, and as supplemented in Department of Labor Regulation (41 CRF, Part 60), California Labor Code 1410, et seq., California Labor Code 1777.6, and implementary regulations concerning equal opportunity for Apprentices. Insurance A. Insurance Requirements. Proposer shall provide and maintain insurance acceptable to the Authority's Attorney in full force and effect throughout the term of this Agreement, against claims for injuries to persons or damages to property which may arise from or in connection with the performances of the work hereunder by the Proposer, its agents, representatives or employees. Insurance is to be placed with a current A.M. Best's rating of no less than A: VII. Proposer shall provide the following scope and limits of insurance: 1. Minimum Scope of Insurance. Coverage shall be at least as broad as: a. Insurance Services Office form Commercial General Liability coverage (Occurrence Form CG 0001). b. Insurance Services Office form number CA 0001 (Ed. 1/87) covering Automobile Liability, including code 1 "any auto" and endorsement CA 0025, or equivalent forms subject to the written approval of the City. C. Workers' Compensation insurance as required by the Labor Code of the State of California and Employer's Liability Insurance and covering all persons providing service on behalf of the Proposer and all risks to such persons under this agreement. d. Errors and Omissions liability insurance appropriate to the Proposer's profession. 2. Minimum Limits of Insurance. Consultant shall maintain limits of insurance no less than: a. General Liability: $1,000,000 per occurrence for bodily injury, personal injury and property damage. If Commercial General Liability Insurance or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the activities related to this Agreement or the general aggregate limit shall be twice the required occurrence limit. b. Automobile Liability: $1,000,000 per accident for bodily injury and property damage. C. Worker's Compensation and Employers Liability: Worker's Compensation as required by the Labor Code of the State of California and Employers Liability limits of $1,000,000 per occurrence. d. Errors and Omissions Liability: $1,000,000 per occurrence. 7 B. Other Provisions. Insurance policies required by this Agreement shall contain the following provisions: 1. All Policies: Each insurance policy required by this paragraph shall be endorsed and state the coverage shall not be suspended, voided, canceled by the insurer or either party to this Agreement, reduced in coverage or in limits except after 30 days prior to written notice by Certified Mail, return, receipt requested, has been given to Authority. 2. General Liability and Automobile Liability Coverages: a. Authority, its officers, officials, and employees and volunteers are to be covered as additional insured as respects: Liability arising out of activities Proposer performs, products and completed operations of Proposers; premises owned, leased or hired or borrowed by Proposer. The coverage shall contain no special limitations on the scope of protection afforded to Authority, its officers, officials, or employees. b. Proposer's insurance coverage shall be primary insurance as respects to Authority, its officers, officials, employees or volunteers shall apply in excess of, and not contribute with, Proposer's insurance. C. Proposer's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. d. Any failure to comply with the reporting or other provisions of the policies including the breaches of warranties shall not affect coverage provided to the Authority, its officers, officials, employees or volunteers. 3. Worker's Compensation and Employer's Liability Coverage. Unless the Executive Director otherwise agrees in writing, the insurer shall agree to waive all rights of subrogation against the Authority, its officers, officials, employees and agents for losses arising from work performed by Consultant for Authority. C. Other Requirements. Consultant agrees to deposit with Authority, at or before the effective date of this Agreement, certificates of insurance necessary to satisfy Authority that compliance with the insurance provisions of this Agreement have been complied with. The Authority's Attorney may require the Proposer furnish the Authority with copies of original endorsements effecting coverage required by this Section. The certificates and endorsements are to be signed by a person authorized by that insurer to bind coverage on its behalf. Authority reserves the right to inspect complete, certified copies of all required copies of all required insurance policies, at any time. 1. Proposer shall furnish certificates and endorsements from each subcontractor identical to those Proposer provides. 2. Any deductibles or self-insured retentions must be declared to and approved by the Authority. At the option of the Authority, either the insurer shall reduce or eliminate such deductibles or self insured retentions as respects the Authority, its officers, officials, employees and volunteers; or the Proposer shall procure a bond guaranteeing payment of losses and related investigations, claim administration, defense expenses and claims. 3. The procuring of such required policy or policies of insurance shall not be construed to limit Proposer's liability hereunder to fulfill the indemnification provisions and requirements of this Agreement. Subcontracting The Proposer may utilize the services of specialty Subcontractors on those parts of the Work that, under normal contracting practices, are performed by specialty Subcontractors. Unless Proposer lists a specific Subcontractor, Proposer is representing to the Authority that Proposer has all appropriate licenses, certifications, and registrations to perform the work hereunder. After submission of his/her proposal, the Proposer shall not award Work to any unlisted Subcontractor(s) without prior written approval of the Authority. The Proposer shall be fully responsible to the Authority for the performance of his/her Subcontractors, and of persons either directly or indirectly employed by them. Nothing contained herein shall create any contractual relation between any Subcontractor and the Authority.
